1. INTRODUCTION & STRATEGIC POSITIONING
CrownateStudio is a construction intelligence platform operating at the intersection of property verification, fraud detection, procurement intelligence, and documentation systems.
These Terms of Service (“Terms”) establish a legally binding agreement between users (“User”) and CrownateStudio (“Platform”).
The Platform aligns with:
- Nigeria Data Protection Act (NDPA) 2023
- Arbitration and Mediation Act (AMA) 2023
- Global SaaS standards (GDPR, SOC 2, ISO principles)
This alignment ensures data protection, dispute efficiency, and operational trust across all services.
2. ACCEPTANCE OF TERMS (CLICKWRAP AGREEMENT)
By creating an account or using the Platform, you:
- Affirmatively accept these Terms (“Clickwrap Agreement”)
- Agree to the Privacy Policy and all supplemental terms
- Confirm you are at least 18 years old
CrownateStudio may update these Terms. Material changes will be communicated 15–30 days in advance.
Continued use = acceptance of updated Terms.
3. PLATFORM ROLE & ADVISORY BOUNDARY
CrownateStudio provides:
- Data analysis
- Verification workflows
- Risk intelligence tools
IMPORTANT DISCLAIMER
CrownateStudio:
- Is NOT a law firm, survey authority, or regulatory body
- Does NOT provide legal, financial, or political advice
- Does NOT replace licensed professionals
All outputs are: “INFORMATIONAL AND OPERATIONAL SUPPORT ONLY.”
4. HIGH-RISK USE DISCLAIMER
The Platform must NOT be used as the sole basis for:
- Structural engineering decisions
- Life-safety system approvals
- Final legal title certification
Users must obtain licensed professional validation before critical decisions.
5. USER RESPONSIBILITIES & DATA WARRANTIES
Users agree to:
- Provide accurate, lawful, and complete data
- Own or have rights to uploaded documents
- Not violate intellectual property or privacy laws
Users warrant that:
- All submitted data is legitimate
- They bear full responsibility for decisions made
6. DOCUMENTATION & VERIFICATION DISCLAIMER
CrownateStudio performs structured verification based on:
- Available digital & manual records
- Analytical models
- Third-party data sources
However:
- Results are NOT guarantees of authenticity
- Government records may be incomplete or inconsistent
- All services are provided “AS IS” and “AS AVAILABLE”
7. FRAUD DETECTION & BUYER’S SHIELD
The Buyer’s Shield system provides:
- Risk scoring
- Pattern detection
- Fraud indicators
However:
- It is a predictive analytical model, not insurance
- Fraud prevention is NOT guaranteed
- Risk assessments apply only at the time of analysis
- Insurance for property is issued by our third party insurance partners
User Acknowledgement:
- Fraud risk can change over time
- External factors (e.g., social engineering) are outside platform control
8. PROCUREMENT & VENDOR INTERMEDIARY STATUS
“INTELLIGENCE PROVIDER AND INTERMEDIARY”
The Platform:
- Is NOT a party to vendor contracts
- Does NOT guarantee vendor performance, pricing, or delivery
All procurement decisions are made at the User’s risk.
9. LIMITATION OF LIABILITY (RISK ALLOCATION FRAMEWORK)
To the fullest extent permitted by law:
CrownateStudio’s total liability is limited to:
Total Liability = min(Direct Proven Damages, Fees Paid in Last 3 Months)
Key Conditions:
- Applies to all claims (contract, tort, negligence)
- Excludes indirect or consequential damages
- Does not apply to gross negligence or willful misconduct
Super Cap (Enterprise Context): Up to 2x–5x fees where required by contract.
10. INTELLECTUAL PROPERTY & DATA OWNERSHIP
User Content
Users retain ownership of uploaded documents.
Platform IP
CrownateStudio owns software, algorithms, systems, and design.
Derivative Data
CrownateStudio owns aggregated data, anonymized insights, and machine learning outputs.
PROHIBITED ACTIONS
Users must NOT reverse engineer the platform, scrape data using bots, or use the system for competitive benchmarking.
11. DATA PRIVACY & NDPA 2023 COMPLIANCE
CrownateStudio complies with NDPA 2023:
Key Measures:
- Encryption (AES-256, TLS 1.2+)
- Role-Based Access Control (RBAC)
- Multi-Factor Authentication (MFA)
Breach Notification:
Report within 72 hours (as required by NDPA)
12. SERVICE AVAILABILITY & SLA PRINCIPLES
- Does NOT guarantee uninterrupted service
- Provides advance notice for scheduled maintenance
- Minimizes downtime where possible
13. TERMINATION & DATA RIGHTS
Users may terminate accounts at any time.
Upon termination:
- 30-day data export window
- Permanent deletion after grace period
The following survive termination: IP rights, Confidentiality, and Liability limitations.
14. THIRD-PARTY SERVICES
CrownateStudio integrates external systems. We are NOT responsible for:
- Third-party downtime or external data inaccuracies
- Government policy changes
- Traditional & cultural misalignment
- Business concluded without CrownateStudio knowledge
- Tax changes or economic differences
15. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of the Federal Republic of Nigeria.
Binding Arbitration at the Lagos Court of Arbitration (LCA)
- Seat: Lagos
- Rules: LCA Arbitration Rules
- Scope: All disputes including fraud and IP
16. FORCE MAJEURE
CrownateStudio is not liable for: Cyber-attacks, Network outages, Government actions, Natural disasters, or Infrastructure failures.
17. ACCEPTABLE USE POLICY (AUP)
Users must NOT:
- Conduct fraud or scams
- Harass or misuse data
- Overload or disrupt the system
CrownateStudio reserves the right to monitor usage, suspend abusive accounts, and delete illegal accounts.
18. BILLING & SUBSCRIPTION TERMS
- Transparent pricing
- Auto-renewal disclosure
- 7-14 days renewal notice
Payment Handling: Grace period for failed payments and simple cancellation process.
19. ENTIRE AGREEMENT (MERGER CLAUSE)
These Terms represent the complete agreement between the User and CrownateStudio and override all prior discussions, oral statements, or informal representations.
20. FINAL DISCLAIMER
TECHNOLOGY PLATFORM NOT A LEGAL OR REGULATORY AUTHORITY
Users acknowledge that final decisions are their responsibility, independent verification is required, and the Platform supports but does not replace professional judgment.
